About this skill
Problem
Reviewing data-related contracts is hard because the relevant rules are spread across multiple domains, risk levels are not obvious, and non-Chinese contracts often lack an actionable Chinese comparison. A clause-by-clause full legal dump is verbose and does not produce a usable revision.
How it works
The skill structures review into extract-review-revise-deliver steps:
- Extracts clauses, annexes, and signature pages, and creates a Chinese translation for non-Chinese contracts;
- Reads references/legal-checklist.md once and focuses on 2-3 relevant domains such as network security, data security, personal information, credit, and cross-border data transfer;
- Outputs high/medium/low risk summaries, clause-level revision notes, and 3-5 negotiation priorities;
- Delivers revised original-language and Chinese versions, plus a Word revision comparison.
Boundaries
It is better suited for first-pass contract compliance screening and clause revision than exhaustive statutory interpretation. Complex cross-border, financial licensing, or industry-specific regulatory questions still need transaction-specific analysis and professional advice.
Use Cases
- Use when reviewing data processing contracts to check personal information, data security, and cross-border transfer clauses.
- Use when screening an English service agreement and producing a Chinese translation, risk ratings, and negotiable revisions.
- Use in credit-data partnerships to review credit regulation, credit information use, and liability clauses.
- Use when signing critical information infrastructure contracts to review network security, incident reporting, and confidentiality clauses.
Best For
- Legal counsel handling data procurement contracts who needs to spot personal information and cross-border data risks before signing.
- Business owners reviewing cross-border service agreements who need Chinese compliance comparison and negotiation priorities.
- Compliance specialists in credit-data partnerships who need to check credit regulation clauses and enforceable liability terms.
- Network security engineers managing critical infrastructure contracts who need to review incident reporting and confidentiality clauses.
