This skill turns review into repeatable steps: extract contract text, assess fixed dimensions, mark revision suggestions in the original document, and generate a standalone review report.

How it works

  • Text extraction: accepts uploaded files or specified paths; .doc files can be converted to .docx with LibreOffice, then extracted with pandoc.
  • Dimension review: checks nine dimensions, including parties, subject matter and price, payment, delivery and acceptance, IP rights, confidentiality, breach liability, dispute resolution, and effectiveness.
  • Risk grading: labels high, medium, and low risk; high-risk clauses receive direct revisions, medium-risk clauses receive suggestions, low-risk items receive comments, and vague expressions are marked as needing definition.
  • Output: edits word/document.xml to produce a revised contract with Track Changes and generates a standalone Word review report; for two contracts, it can output a clause-by-clause comparison report.

Boundaries

It suits early review for technical, product, and procurement contracts, but does not replace legal counsel for major transactions, complex IP licensing, or cross-border disputes. Party information should be configured before review; uncertain clauses are marked for manual review.
