What problem it solves

Reading a contract clause by clause is rarely the bottleneck; the harder part is deciding which terms shift risk away from the party you represent. This skill works on contract text for SaaS agreements, employment contracts, freelancer engagements, NDAs, MSAs, and similar documents. It starts from your side of the deal, then scans for asymmetric terms such as missing liability caps, broad indemnification, aggressive IP assignment, long termination notice, and overbroad non-compete restrictions.

How the review works

  • Set the reviewing perspective first: customer, vendor, employer, or freelancer, because the same clause can be protective for one side and dangerous for the other.
  • Extract contract basics: type, effective date, term, governing law, core obligations, and value exchange.
  • Flag clause-level risks: review liability exposure, indemnification triggers, termination rights, IP ownership, non-compete scope, confidentiality, data handling, and force majeure language, then assign Critical, High, Medium, or Low severity.
  • Produce an actionable report: executive summary, clause-by-clause risk table, overall risk score, prioritized negotiation points, and suggested alternative language where useful.

Boundaries and caveats

It is best used for initial triage, clause comparison, and negotiation preparation. If the contract references external SOWs, SLAs, privacy policies, or multi-jurisdiction requirements, those documents and local law need separate review. Draft contracts, version changes, arbitration clauses, and enforceability questions should be validated by qualified legal counsel before signing.
