How it works

  • Intake and preprocessing: accepts file paths, pasted text, or Tencent Docs links, then extracts full text with markitdown-skill or Read and checks completeness.
  • Clause structuring: extracts clauses by section and highlights parties, subject matter, payment, performance, breach liability, dispute resolution, confidentiality, and IP terms.
  • Risk assessment: evaluates legal validity, commercial risk, compliance risk, wording risk, and executability, then labels high, medium, and low risk.
  • Drafting feedback: proposes replacement wording, negotiation points, and legal bases for high/medium risk clauses.
    The final Markdown report follows a template and is suitable for archiving or revision.
