Procurement contract review can produce inconsistent results, mix up contract types, rewrite numbers, or flag risks that are actually favorable to the buyer. This skill is built for the buyer / purchaser side and focuses on risky clauses in goods, construction, and service procurement contracts, including payment, delivery, acceptance, liability, IP, and dispute resolution.

How It Works

• Consistent text extraction: It uses a fixed extraction script to standardize contract text and output a content_hash, reducing drift caused by track changes, whitespace, and table extraction differences.
• Contract type detection: It first classifies the contract as goods, construction, service, or mixed, then applies the corresponding audit rules.
• Four-layer review: It checks legality, enforceability, risk controllability, and business-goal alignment.
• Structured reporting: It produces an HTML report with contract highlights, identified risks, suggested revisions, supporting legal clauses, and an overall conclusion. Legal references are tied to specific risk items and must cite exact provisions.

Limits

• Supports .docx, .pdf, .txt, and .md; PDFs must be searchable. Encrypted files and OCR scans are not supported.
• Numbers and liability terms must be quoted from the contract; missing terms should be marked as not explicitly agreed.
