This skill targets the 2023 revised Company Law, five judicial interpretations, the 2025 draft for comments, related administrative rules, Supreme People's Court cases, typical debt-evasion cases, and curated Q&A. It is useful for shareholder capital contribution, equity transfer, resolution validity, inspection rights, profit distribution, derivative litigation, director and officer liability, dissolution and liquidation, VAM agreements, equity holding, and enforcement against shareholders.
How it works

It first maps the user's facts to a dispute type, then searches statutes, interpretations, cases, and Q&A in parallel. It recommends using Grep with Chinese full-width article numbers to avoid loading entire files. Before citing specific articles, it verifies current validity through mcp__yuandian-mcp__yuandian_law_vector_search. For cases, it uses mcp__yuandian-mcp__yuandian_case_vector_search, filtered to civil cases after 2024-07-01, with optional province, city, or court constraints. If jurisdiction is not provided, it asks for confirmation before running a regional case search.
