About this skill
Problem to Solve
The hard part in contracts is not length, but whether parties, price, performance deadlines, and liability clauses are extracted correctly, what changed across versions, and where risk concentrates. Manual reading is slow, and plain text search rarely produces verifiable legal references.
How the Skill Works
Contract Review Assistant accepts text, TXT, DOCX, PDF, and image input, then processes it in a fixed pipeline:
- Clause extraction: identifies core fields in sales, lease, and service contracts and outputs structured content.
- Risk identification: flags abnormal terms such as excessive liability or vague wording, assigns high/medium/low levels, and optionally uses LLM-enhanced analysis.
- Version comparison: compares different versions, highlights changes, and generates a difference report.
- Opinion generation: turns risk findings into review opinions, revision suggestions, and negotiation points.
- Legal knowledge base: includes plain-text references to the Constitution, Civil Code, Labor Contract Law, Labor Law, Criminal Law, and Contract Law, and can query the National People's Congress legal database for key clauses.
- Multi-format output: generates Word, PDF, HTML, and Markdown, with SMTP email delivery and review history management.
Boundaries
It suits legal pre-review, contract management, law-firm analysis, and negotiation prep. Image input depends on OCR quality, email output requires SMTP and attachment permissions, online statute lookup depends on an external source, and the output is review assistance rather than formal legal advice.
Use Cases
- A lawyer reviews a counterparty's revised draft to locate added penalty or liability waiver clauses and produce review opinions.
- A business owner compares two versions of a service agreement before negotiation to extract payment and acceptance differences.
- A law firm assistant extracts parties, price, and performance deadlines from a service contract into a Markdown working draft.
- A corporate contract manager screens multiple lease agreements, flags vague clauses, and exports a Word review memo for email.
Best For
- Legal counsel who need to locate risky clauses in counterparty drafts and draft revision comments.
- Business owners who need to compare contract versions and summarize payment and acceptance points before negotiation.
- Law firm assistants who need to structure contract clauses into working drafts with supporting legal references.
- Corporate contract managers who need to screen contracts and export Word/PDF review reports.
